2. Free Software
PayrollCenter.ph is provided as a free software service.
No fees are charged for the use of the Service unless expressly announced in writing in the future.
Because the Service is provided free of charge, users acknowledge that they use the Service entirely at their own risk.
PayrollCenter.ph reserves the right to modify, suspend, limit, or discontinue the Service or any feature at any time without prior notice or compensation.
3. Description of Service
PayrollCenter.ph provides payroll and workforce management software, including but not limited to:
Payroll processing
Employee management
Attendance management
Leave management
Government contribution computations
Reports
Other HR and payroll-related functions
The Service is provided solely as a software tool.
PayrollCenter.ph does not provide legal, accounting, taxation, labor, or financial advice.
4. Account Registration
Users agree to:
Provide accurate and current information.
Maintain the confidentiality of their login credentials.
Immediately notify PayrollCenter.ph of any unauthorized access.
Be fully responsible for all activities performed using their account.
5. Customer Responsibilities
Users are solely responsible for:
Entering accurate employee information.
Reviewing and verifying all payroll computations before processing payroll.
Compliance with all applicable labor, tax, social security, privacy, and other laws.
Obtaining employee consent where legally required.
Maintaining appropriate records.
Keeping independent backups of all payroll and employee information.
PayrollCenter.ph does not verify the accuracy of customer data and assumes no responsibility for errors resulting from incorrect, incomplete, outdated, or misleading information supplied by users.
6. Customer Data
Customers retain ownership of all data they upload.
Customers grant PayrollCenter.ph a limited license to process such data solely for the purpose of operating and improving the Service.
Users are solely responsible for maintaining copies and backups of their own data.
PayrollCenter.ph is not responsible for loss of customer data resulting from user actions, technical failures, third-party services, cyberattacks, force majeure events, or circumstances beyond our reasonable control.
7. Acceptable Use
Users shall not:
Use the Service for unlawful purposes.
Attempt unauthorized access.
Upload malicious software.
Interfere with the operation of the Service.
Reverse engineer, copy, or exploit the software except as permitted by law.
Violate the privacy or rights of others.
8. Intellectual Property
All software, source code, designs, trademarks, logos, documentation, and related intellectual property remain the exclusive property of PayrollCenter.ph and its licensors.
These Terms do not transfer ownership of any intellectual property rights.
9. Service Availability
PayrollCenter.ph is offered on a best-effort basis.
We do not guarantee:
Continuous availability
Uninterrupted operation
Error-free performance
Compatibility with every browser or device
Availability of any specific feature
The Service may be unavailable due to maintenance, upgrades, technical failures, internet outages, security incidents, or other unforeseen events.
10. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Service is provided "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS."
PayrollCenter.ph makes no warranties or representations, express or implied, including but not limited to:
Accuracy of payroll calculations
Accuracy of tax computations
Compliance with labor or tax regulations
Availability or uptime
Data accuracy
Merchantability
Fitness for a particular purpose
Non-infringement
Security against unauthorized access
Error-free operation
Users acknowledge that they are solely responsible for verifying all payroll calculations, reports, tax amounts, government contributions, and compliance obligations before relying upon or submitting them.
11. Limitation of Liability
To the fullest extent permitted by law, PayrollCenter.ph, its owners, developers, employees, contractors, affiliates, and licensors shall not be liable for any:
Payroll errors
Incorrect salary computations
Incorrect tax or government contribution calculations
Labor disputes
Government penalties
Compliance violations
Business interruption
Loss of profits
Loss of business opportunities
Loss of goodwill
Data loss
Data corruption
Security incidents
Indirect, incidental, consequential, special, exemplary, or punitive damages
Because the Service is provided free of charge, users acknowledge that PayrollCenter.ph receives no compensation for assuming operational risks.
Accordingly, to the fullest extent permitted by law, PayrollCenter.ph shall have no monetary liability whatsoever arising from or related to the use of the Service.
Where applicable law does not permit a complete exclusion of liability, PayrollCenter.ph's total cumulative liability shall not exceed One Hundred Philippine Pesos (PHP 100.00).
12. Indemnification
Users agree to defend, indemnify, and hold harmless PayrollCenter.ph, its owners, employees, developers, contractors, and affiliates from any claims, liabilities, damages, penalties, losses, costs, or legal expenses arising from:

Payroll processing
Payroll calculations
Tax reporting
Government reporting
Labor compliance
Violations of law
Misuse of the Service

13. Suspension and Termination
PayrollCenter.ph may suspend or terminate any account at its sole discretion, including for:
Violations of these Terms
Security concerns
Abuse of the Service
Legal requirements
Protection of the platform or other users
Accounts may also be discontinued if the Service itself is discontinued.
14. Changes to the Service
PayrollCenter.ph may add, remove, modify, suspend, or permanently discontinue any functionality without notice.
We are under no obligation to continue operating the Service.
15. Governing Law
These Terms shall be governed by the laws of the Republic of the Philippines.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the appropriate courts of the Philippines.
16. Changes to these Terms
We may revise these Terms at any time.
Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
